Welcome to BRX Evergreen. These Terms of Service ("Terms") govern your access to and use of the BRX Evergreen platform, website at brxevergreen.com, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and agree to comply with these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

BRX Evergreen is a business management platform designed for beauty and wellness professionals. The Service includes booking management, client relationship management, revenue and payment tracking, brand reputation monitoring, a unified social media inbox, AI-powered lead follow-up, marketing automation, and a Founder KPI Dashboard. Features may vary by subscription tier and may be updated, modified, or discontinued at our discretion.

3. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate and complete information when creating your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Billing

BRX Evergreen offers subscription-based pricing. The Full System plan is priced at $117 per month, which includes the complete platform: bookings, client management, payments, unified inbox, reputation management, AI lead follow-up, marketing automation, and Founder KPI Dashboard. Additional tiers and add-ons may be available at different price points.

  • Subscriptions are billed monthly through Stripe. By subscribing, you authorize recurring charges to your payment method.
  • Your subscription will automatically renew each billing cycle unless you cancel before the renewal date.
  • You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.
  • Refunds are not provided for partial billing periods, except where required by law. If you believe you were charged in error, contact support@brxevergreen.com within 14 days of the charge.
  • Promotion codes and discounts may be offered at our discretion. Promotion codes are single-use unless otherwise stated, cannot be combined, and may have expiration dates or usage limits.
  • We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Send spam, unsolicited messages, or bulk communications through the platform
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to collect personal data of others without their consent
  • Resell or redistribute the Service without our written permission

6. SMS Communications

The Service includes SMS messaging capabilities (powered by Twilio) for appointment reminders, booking confirmations, and marketing campaigns. By using these features:

  • You agree to comply with all applicable laws regarding SMS communications, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
  • You are responsible for obtaining proper consent from your clients before sending them SMS messages through the platform.
  • You must honor opt-out requests promptly. Recipients can reply STOP to opt out at any time.
  • Message and data rates may apply to recipients. You are responsible for informing your clients of this.
  • You must not send deceptive, misleading, or inappropriate content via SMS.
  • BRX Evergreen reserves the right to suspend SMS capabilities if misuse is detected.

7. Social Media Integrations

BRX Evergreen integrates with third-party social media platforms including Instagram, Facebook, and TikTok to provide a unified inbox for direct messages and lead management. By connecting your social media accounts:

  • You authorize BRX Evergreen to access your account's messaging features through official platform APIs (Meta Graph API, TikTok API).
  • You are responsible for complying with each platform's terms of service and community guidelines.
  • We store access tokens securely and use them solely to provide the messaging integration features.
  • You may disconnect any social media account at any time from your Settings.
  • BRX Evergreen is not responsible for changes to third-party platform APIs, policies, or availability that may affect these integrations.

8. Identity Verification

During account setup, you may be required to upload a government-issued photo ID for identity verification. By uploading your ID:

  • You confirm that the ID belongs to you and that the information on it is accurate.
  • Your ID image is stored securely in encrypted storage and is used solely for identity verification purposes.
  • We use AI-powered text extraction to read the name on your ID and compare it against the name provided during registration.
  • We do not share your ID image or extracted data with third parties except as required by law.

9. Intellectual Property

The Service, including its design, features, code, and branding, is owned by BRX Evergreen and protected by intellectual property laws. You retain ownership of the content and data you upload to the Service. By using the Service, you grant us a limited license to process and display your content as necessary to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by law, BRX Evergreen and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

11. Indemnification

You agree to indemnify and hold harmless BRX Evergreen from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of accepting these Terms.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
